Asset Management firm based in Dublin looking for a Legal Counsel to join their Legal Team, reporting to the Head of Legal.
Responsibilities:
- Legislation and Regulation: Monitor, analyse, and implement new regulations affecting the company and managed funds (e.g., UCITS, AIFMD, MiFID II, EMIR, SFDR, CP86).
- Fund Approvals/Amendments: Handle regulatory applications for new sub-funds and manage post-authorisation amendments. Support product development from concept to approval.
- Fund Documentation: Draft and maintain fund and management documents (e.g., Prospectus, Supplements, KIIDs, Business Plan).
- Contracts: Draft and review commercial contracts (e.g., IMAs, investment advisory agreements, licensing agreements).
- Transactional Documentation:Draft and review transactional documents (e.g., ISDA Agreements, transaction confirmations).
- Legal Advice: Provide business-oriented legal advice on fund umbrellas and governance.
Key Requirements:
- Qualified Solicitor with 5 years' post-qualification experience.
- Experience in investment funds and fund documentation.
- Strong legal analysis and practical advice skills.
- Excellent communication skills for interacting with management and stakeholders.
