In-house Senior Commercial Paralegal

Responsibilities

Commercial Properties

  • Research title documents and plans of proposed installation sites at HM Land Registry
  • Report to the RISC (Return on Investment and Security Committee) on legal matters
  • Draft Leases, Concessions and Operation & Maintenance Agreements, based on legally drafted precedents.
  • In the case of leases (a minority) prepare LTA declarations, filing at HM Land Registry and filing SDLT returns with HMRC

Commercial Contracts

  • Review, negotiate and populate suppliers' and subcontract installer agreements, introducer agreements, roaming agreements, NDAs and Letters of Intent
  • Review comment and provide commercial risk commentary on proposed customer agreements including tender submissions
  • Provide negotiation support for all commercial agreements, and re-negotiate concession agreements / leases before their expiration date.

Company Secretarial

  • Maintain the statutory registers and filing compliance for UK group companies
  • Attend Board and Shareholders meetings and prepare resolutions and minutes

Intellectual Property and Branding

  • Liaise with patent Attorneys to keep IP and brand protection under review

Risk

  • Maintain and constantly update the Group's Risk Register. Liaise with the Management Accountant to ensure risks are adequately insured (where appropriate)

Compliance

  • Ensure the UK companies are compliant with all relevant UK laws, particularly the Public Charge Point Regulations 2023
  • Ensure that the UK companies are compliant with GDPR regulations and maintain registration / filing at the Information Commissioner's Office. Manage any breaches.

General responsibilities

  • Maintain a digital archive of legal agreements
  • Review and update Corporate (ethical) Policies when required
  • Assist the Team with any legal matters
  • Recognise when to refer a matter to external lawyers and brief them

Candidate Qualifications

Either/ or

  • CILEX qualification
  • Paralegal apprenticeship certificate or diploma
  • At least 5 years post qualification experience, ideally in commercial property.
  • Membership of the Institute of Paralegals
  • Sufficient Training will be given where required
