What You'll Do:

As a Corporate Paralegal, you'll play a pivotal role in supporting the legal team and clients across a range of corporate law matters. Your responsibilities will include:

  • Client Interaction: liaising directly with clients, other lawyers and external advisers to ensure smooth communication and management of corporate legal matters.
  • Legal Drafting & Review: working and learning directly alongside senior lawyers drafting and reviewing key legal documents such as shareholder agreements, articles of association, and board resolutions.
  • Due Diligence & Disclosures: playing a key role in the due diligence process for M&A projects, including responsibility for managing virtual data rooms, uploading and ordering documentation, liaising with clients and advisers, reviewing and reporting on contracts and other legal documentation; attending disclosure meetings and preparing first draft disclosure letters.
  • Transaction Support: drafting ancillary documents such as stock transfer forms, board minutes and rolling out pro forma documents, preparing for completion including finalising and circulating documents for execution.
  • Company Secretarial Support: supporting clients directly by drafting minutes of meetings, updating statutory registers and supporting company secretarial functions, including company incorporations and post completion filings at Companies House.
  • Legal Research: conducting legal research and providing summaries to senior legal colleagues, helping to shape our legal strategies.

Preferred Qualifications:

  • Legal qualifications.
  • Prior corporate paralegal experience is helpful, but not essential.
  • Full clean UK driver's licence.
