Chilworth Partnership (also trading as Venture Recruitment Partners) are working exclusively with a listed and rapidly growing organisation based in Portsmouth in their search for a Group Company Secretary. The business would be open to looking at candidates who are wanting to work part time and also offer hybrid working. Reporting to the CFO, responsibilities will include: Act as Company Secretary to the Board, Board Committees and all UK subsidiary companies. Organise Board administration, attend Board and executive meetings, taking minutes and capturing actions as required. Ensure the agenda and minutes of previous meetings are circulated with other relevant board papers. Maintain the statutory books and records required for a listed company. Advise the Executive team and ensure compliance with the best principles of corporate governance. Ensure compliance with all listing, statutory and regulatory requirements. Organise the AGM and any EGMs, including preparation of the relevant notices, resolutions and voting. Manage the Group's existing share incentive schemes and be involved in the design/launch of new schemes. Provide company secretarial support for capital markets projects as they arise and share responsibilities with other Group team members. Lead the design and production of the Annual Report, including preparing the text of the statutory reports and information they contain. Lead on developing and deploying the Group ESG strategy across the business. Act as business owner of risk management framework, risk registers and their effective operation. Negotiate and maintain appropriate Group wide insurance cover. Ensure that the Group-wide legal structure is compliant, fit for purpose and is aligned with the commercial intercompany arrangements. Provide oversight for Group-wide estate, including office premises, facilities and equipment and supports the Executive team in lease negotiations. You will: Have experience working in a UK Listed PLC environment. Have a proven background of high-level company secretarial/legal, corporate governance and corporate administration issues. Have excellent commercial acumen and awareness. Be able to manage difficult situations and conflict in a professional manner. Be proven in instructing and working closely with professional advisers. Have strong verbal and written communication skills. Be a self-starter ability to show initiative and work on his/her own to achieve department and business objectives.
